Company Secretary

It is mandatory for companies to hire a corporate secretary within 6 months of incorporation as required by ACRA. You should be aware that the Company Secretary must be a resident of Singapore (citizen or permanent resident). The Company Secretary is responsible for ensuring that the company complies with the relevant legislations and regulations. The Secretary also keeps the Board Members informed of their legal responsibilities towards the company.

Outsourcing company secretarial services save you the cost of hiring and training of in-house team without any compromise on quality. The cost spent on infrastructure, employment taxes and other overhead costs are saved by outsourcing services to third-party. Therefore, money saved can be used to expand the business.

Reach out to us and we will ensure that your Corporate Secretary onboarding process is smooth!

Not necessarily, you can hire a Corporate Secretary as your employee or outsource this service. When you entrust this role to Tisch Global, we are not an employee. You don’t have to pay salary and manage the work. The expense is limited to the Corporate Secretarial package you choose.

Corporate Tax

Corporate tax rate is capped at 17% based on the company’s chargeable income.

We thoroughly comb through your transactions to help maximise tax deductions. This includes planning your capital allowance, S14Q claims, and donation claims to fully utilise your tax allowance.

Employer of Record (EOR)

An EOR is a service that becomes the legal employers of your workers on paper, while you retain full control over their daily work and management.

We take care of compliance and paperwork. This allows you to hire internationally without setting up a foreign entity or navigating complex local regulations. We currently support EOR services in Singapore and Malaysia.

How it works:

We would handle all the legal and administrative responsibilities (e.g., employment contracts, payroll processing, tax compliance and local law adherence). You focus on things that matter like recruiting talent, managing their work, and growing your business.

It’s natural to think what’s the difference between using an EOR and setting up a company in Singapore or Malaysia to hire my employee?

Here are the most common situations where an EOR makes sense:

  • You are testing a new market or a new hire: If you only plan to hire 1-3 employees or exploring business opportunities, using an EOR allows you to hire legally without incorporating a company. This reduces upfront commitment and administrative burden.
  • You need to hire quickly: Incorporating a company and opening a bank account (especially for foreign-owned companies) can take months. An EOR can typically onboard employees within days once contracts are signed.
    • Employment contracts
    • Payroll processing
    • Statutory contributions
    • Tax reporting
    • Termination compliance
  • You want to avoid compliance complexity: Every country has different labour laws, tax rules, and reporting requirements. Navigating a country’s employment regulations can be complex.
At Tisch, an EOR assumes responsibility for:
However, if you are planning significant long-term presence with employees, have substantial revenue in that country, establishing your own entity may be more strategic.

While both EORs and PEOs handle HR tasks, an EOR becomes the legal employer of the workers, whereas a PEO co-employs the workers along with the client company.

Companies typically consider using an EOR when expanding into new markets, managing remote teams, or navigating complex employment and payroll regulations. An EOR is a global hiring solution, enabling businesses to hire employees in foreign countries without setting up local entity while ensuring full compliance with local labour laws and statutory requirements.

Yes, EOR services are completely legal in both Singapore and Malaysia.

EOR providers operate within existing employments laws in both countries, allowing companies to hire locally without establishing their own entity. The EOR becomes the legal employer and handles all statutory compliance requirements such as CPF contributions in Singapore and EPF/SOCSO in Malaysia.

We stay up to date with local labour laws and regulations, ensuring that all employment practices are compliant and reducing the risk of legal issues.

The Employment Act, The Child Development Co-savings Act, The Employment of Foreign Manpower Act, Work Injury Compensation Act and The Workplace Safety and Health Act.

Foreign companies must comply with Singapore’s Employment Act, CPF regulations, income tax reporting to IRAS and statutory contribution requirements.

An EOR partner manages payroll, processing, statutory submissions, tax filings, and employment documentation on your behalf, ensuring full compliance while you focus on growing your business.

Yes, our EOR services in Singapore and Malaysia allow you to legally hire employees without setting up a local entity.

An EOR allows you to hire employees in a country where you have no legal entity. The EOR uses their own registered business to employ workers on your behalf, so you do not need to set up a local company. Additionally, the EOR handles all payment responsibilities.

In short, we take care of everything and ensure your employees are paid correctly and on time, while staying fully compliant with local tax and employment laws.

Yes, EOR services can be used for short-term or contract staff in both Malaysia and Singapore.

Goods & Services Tax (GST)

The registration itself takes 10 working days from submitting the GST application form to getting the GST number. But preparing all the paperwork necessary to apply may take time. The list of required documents is extensive, and you even have to attach proof that you’ve completed an IRAS educational course on GST.

For companies that have hit the S$1M annual revenue mark, you have 30 days to register for GST. We advise you to plan ahead and file for voluntary registration as soon as possible.

You add 7% to the sum of your goods or services to charge or bill your customer, and then pay this amount to IRAS every quarter.

Let us help you handle the GST computation and submission, so you can focus on growing and scaling your business.

The current GST rate in Singapore is 9%.

Singapore offers several government-run GST assistance schemes through the Inland Revenue Authority of Singapore (IRAS) to help businesses manage their tax obligations more effectively.

These schemes are designed to support businesses with cash flow management, reduce administrative burdens, and facilitate international trade.

Some examples include:

  • Gross Margin Scheme: GST is charged on the gross margin of goods.
  • Zero GST Warehouse Scheme: A GST-registered business can store imported goods in approved warehouses without paying GST upfront. GST is payable when these goods are removed from the zero-GST warehouse for local use.
  • Hand-Carried Exports Scheme: Allows zero-rating of goods supplied to an overseas customer if the goods are hand-carried out of Singapore via Changi International Airport.
  • Import GST Deferment Scheme: A business can pay GST on imports when its monthly GST returns are due. That means it does not need to pay GST at the point of import.
